Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Emmanuell Allen trading as Agents4You ("Agents4You", "we", "us", or "our") concerning your access to and use of our AI receptionist service (the "Service").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Agents4You provides an AI-powered virtual receptionist service that includes:

  • AI phone answering using natural language processing
  • Appointment booking and calendar management
  • Call transcript generation (text only)
  • Business information management (FAQs, services, hours)
  • SMS and email notifications (plan-dependent)
  • Call metadata and usage analytics

Important Note:

We provide call transcripts (text) but do NOT store call audio recordings. Call recordings remain with our voice provider (Vapi) and are subject to their retention policy.

3. Subscription Plans and Pricing

3.1 Available Plans

We offer three subscription tiers:

Basic Plan - £79/month

  • 100 minutes per month
  • Up to 5 services
  • Up to 5 FAQs
  • Email support

Standard Plan - £129/month

  • 240 minutes per month
  • Up to 10 services
  • Up to 20 FAQs
  • Call transcripts (coming soon)
  • Email support

Premium Plan - £199/month

  • 600 minutes per month
  • Unlimited services
  • Unlimited FAQs
  • Call transcripts (coming soon)
  • Email support

3.2 Billing and Payment

  • Subscriptions are billed monthly in advance via Stripe
  • Payment is due on the same day each month as your initial signup
  • All prices are in British Pounds (GBP) and include VAT where applicable
  • Failed payments may result in service suspension after 7 days
  • You are responsible for keeping payment information up to date

3.3 Free Trial

New customers receive a 48-hour free trial with minutes allocated based on their selected plan. You will be asked to provide payment details when signing up, but you will NOT be charged during the trial period.

Important: If you do not cancel before the 48-hour trial ends, your subscription will automatically begin and you will be charged the full monthly price for your selected plan (Basic: £79/month, Standard: £129/month, or Premium: £199/month). You can cancel anytime during the trial from your account settings with no charge.

4. Usage Limits and Overages

4.1 Monthly Minutes

Each plan includes a specific number of AI call minutes per month. Minutes reset on your monthly billing date and do not roll over to the next month.

4.2 Grace Calls

After depleting your monthly minutes, the service will handle up to 5 additional "grace calls" before becoming unavailable. Callers will hear a message asking them to call back later or leave a voicemail (if configured).

4.3 Overage Charges

Usage beyond your plan's included minutes (after grace calls) will be charged at:

  • Basic Plan: £0.10 per additional minute
  • Standard Plan: £0.09 per additional minute
  • Premium Plan: £0.08 per additional minute

Overage charges are billed separately on your next invoice. You can set usage alerts in your account settings to avoid unexpected charges.

5. Auto-Renewal and Cancellation

5.1 Auto-Renewal

Your subscription will automatically renew each month until you cancel. You authorize us to charge your payment method on each renewal date.

5.2 Cancellation by Customer

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the service until that date.

No refunds: We do not provide refunds for partial months. If you cancel mid-month, you will not be charged for the next month, but your current month's payment is non-refundable.

5.3 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time:

  • Upgrades: Take effect immediately. You will be charged a pro-rated amount for the remainder of the current billing period.
  • Downgrades: Take effect at the end of your current billing period. You will receive a pro-rated credit applied to your next invoice.

6. Refund Policy

6.1 7-Day Money-Back Guarantee

If you are not satisfied with the service within the first 7 days after your initial paid subscription begins, you may request a full refund by contacting support@agents4you.co.uk. This guarantee does NOT apply to renewals or plan changes.

6.2 Service Outages

If the service experiences downtime exceeding 24 consecutive hours due to our fault, you may request a pro-rated credit for the affected period. Credits will be applied to your next invoice.

6.3 No Refunds for Usage

We do not provide refunds for unused minutes or early cancellation (except as provided in Section 6.1).

7. Acceptable Use Policy

You agree NOT to use the Service for:

  • Illegal activities or violating any laws or regulations
  • Spam, unsolicited marketing, or automated calling campaigns
  • Adult entertainment, gambling, or other restricted industries (without prior approval)
  • Harassment, threats, or abusive behavior toward callers
  • Impersonating another person or entity
  • Circumventing usage limits or attempting to defraud the service
  • Reselling or sublicensing the service without written permission
  • Reverse engineering, decompiling, or attempting to extract AI models

Violation of this policy may result in immediate account suspension or termination without refund.

8. Service Availability and Uptime

8.1 Uptime Target

We strive to maintain 99% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation.

8.2 Scheduled Maintenance

We may perform scheduled maintenance with 24 hours advance notice via email. Emergency maintenance may be performed without notice if necessary to preserve security or functionality.

8.3 Third-Party Dependencies

The Service relies on third-party providers (Vapi, Twilio, Stripe). We are not liable for outages or issues caused by these providers.

9. Data Ownership and Privacy

9.1 Your Data

You retain ownership of all data you provide to the Service (business information, call transcripts, customer data). We process this data solely to provide the Service as described in our Privacy Policy.

9.2 Data Deletion

Upon account termination, we will delete your data within 30 days, except for:

  • Financial records (retained for 7 years per UK tax law)
  • Data required to resolve disputes or comply with legal obligations

9.3 Call Recordings

We do NOT store call audio recordings. Call recordings remain with our voice provider (Vapi) and are subject to their data retention policy. You may request access to call recordings directly from Vapi.

10. Intellectual Property

10.1 Our IP

The Service, including all software, AI models, branding, and documentation, is the exclusive property of Agents4You and is protected by copyright, trademark, and other intellectual property laws.

10.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period, subject to these Terms.

10.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

11. Limitation of Liability

11.1 Service "As Is"

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the Service will be error-free, secure, or meet your specific requirements.

11.2 No Liability for Missed Calls

We are NOT liable for missed calls, lost appointments, or business opportunities resulting from:

  • Service outages or errors
  • AI misunderstandings or incorrect responses
  • Exceeded usage limits
  • Third-party provider failures (Vapi, Twilio, etc.)
  • Force majeure events (natural disasters, pandemics, etc.)

11.3 Maximum Liability

In no event shall our total liability to you for all claims arising from your use of the Service exceed the amount you paid in the 12 months preceding the claim, or £100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Agents4You from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service in violation of applicable laws
  • Infringement of third-party rights (intellectual property, privacy, etc.)
  • Your business operations or customer interactions

13. Termination

13.1 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay amounts owed within 14 days of invoice
  • Engage in fraudulent or abusive behavior

For less serious violations, we will provide 30 days written notice before termination.

13.2 Effect of Termination

Upon termination, your access to the Service will cease immediately. Outstanding invoices remain due and payable. Your data will be deleted within 30 days as described in Section 9.2.

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal legal action, you agree to first contact us at support@agents4you.co.uk to attempt to resolve the dispute informally.

14.2 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service or legal requirements. We will notify you of material changes by email at least 30 days before they take effect.

Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agents4You regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
